We currently have QB pro2003, they're telling me I have to update or our payroll will stop working the end of this month. We're thinking of updating to the nonprofit version. has anyone done this before? is it as easy as they're telling me? any suggestions?

The "bespoke" versions including the not-for-profit are really only tweaked versions of the full program. You can do all that the non-profit version will offer you with the 2003 version that you have.
Depending on the size of your payroll you could find it cheaper to stay with 2004 and look for a different payroll program. See the thread started by Page on the UK forum. If you upgrade Quickbooks now you will have to do so again in a couple of years when they no longer support 2006 payroll.
I do the accounts for several charities and find 2003 with Moneysoft payroll an ideal combination.

You probably don't need the nonprofit version, stick with Pro - the nonprofit has no special features that will help you.
